Note 01Capital allocation

Discipline before deployment

In most growing businesses, judgment is scarcer than capital. Three tests come before any allocation. Does it protect an existing revenue line? Does it carry a defined payback? Can it run without a new layer of leadership?

  • Name the revenue line the allocation protects or creates.
  • State the review point before the money moves.
  • Confirm who owns the result afterward.

Note 02Governance

What oversight is, and what it is not

Oversight sets standards, allocates capital, and holds leadership accountable. It does not re-run the business from a distance. Clear decision rights, agreed in writing, let a subsidiary keep its speed while the holding company keeps its standards.

  • Write down which decisions belong to the subsidiary.
  • Review performance on a cadence, not on impulse.
  • Separate accountability conversations from operating interventions.

Note 03Risk

Risk appetite belongs in writing

Many risk problems are documentation problems. A stated appetite, defined approval thresholds, and a steady reporting cadence turn judgment calls into decisions that can be reviewed.

  • State the appetite for each company, in writing.
  • Define the thresholds that require review.
  • Keep the reporting cadence the same in good quarters and bad.

Note 04Operating strategy

Growth that survives its own success

Growth often fails on the machinery behind it, not on demand. Reporting, leadership depth, and cash discipline need to scale slightly ahead of revenue.

  • Test reporting against the next revenue stage.
  • Identify the second seat before it becomes urgent.
  • Treat cash discipline as an operating capability.
